Terms and Conditions ( Quality Inspections )

Green Edge Compliance Group Private Limited will provide its Factory Compliance Audit and Inspection services (“Services”) subject to the terms and conditions herein contained (“Terms”). The Terms are the only conditions upon which GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED is prepared to deal with the Client, and they shall govern this contract to the entire exclusion of any other expressed or implied conditions. The Terms may only be modified by a variation expressed specifically in writing signed by a duly authorized representative of GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED

Booking Lead Team

All requests for Services shall be made at a minimum of five (5) business days prior to the desired date of performance of Services. GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED expressly reserves the right to act its own discretion in accepting or declining bookings received with less than five (5) business days notice. Additional charges may apply for the expedited performance of Services for any accepted bookings received with less than five (5) business days notice.

Manday Rate

One (1) Manday is defined as one GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED staff member performing Services on one normal working day. For purposes of this provision, the performance of Services shall include the travel of a GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED staff member to and from the location of where Services are requested. The Manday Rate shall be expressly agreed to in writing between GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED and the Client. The normal working days are Monday through Friday, excluding holidays subject to local customs. Any performance of Services on Saturdays, Sundays, or holidays shall be charged at one and a half (1.5) times the agreed Manday Rate.

Overtime Work

The standard hours for the performance of Services shall be 9:00AM to 6:00PM. Any work done outside of the standard hours shall be charged at an overtime rate of $30 (USD) per hour. This overtime rate only applies for overtime work performed on Mondays through Fridays of a standard work week, excluding holidays. Subject to Provision 2 above, any performance of Services on Saturdays, Sundays, or holidays shall be charged at one and a half (1.5) times the agreed Manday Rate regardless of how many hours are performed on that Saturday, Sunday, or holiday

Abortive Inspections

For any Product Inspection Services that cannot be performed due to production levels that are incomplete or less than the required percentage for the requested Services, the originally assigned Manday cost will be charged to the Client along with any travel expenses incurred. For any requests for During Production Inspection (“DPI”), the production level must be at a minimum of twenty percent (20%) in order for GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED to perform the requested Service. For any requests for Final Random Inspection (“FRI”), the production level must be at a minimum of eighty percent (80%) in order for GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED to perform the requested Service. For any Inspection Services that cannot be performed due to the circumstance that is out of GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED control, the originally agreed audit fee will be charged to the Client along with any travel expenses incurred.

Cancellations and Reschudling

GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED must be notified at least one (1) business day before the Service date for any cancellations or rescheduling of Service requests for Product Inspection Services and at least five (5) business days for Auditing Services. The originally assigned one (1) Manday cost shall be charged for any failures to make timely notification of cancellations and rescheduling of Service requests.

Expenses

The following expenses incurred by GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED shall be charged to the Client for each Service request:

• » Traveling: For all Services performed in Asia, the costs of travel shall be charged according to the Travel Cost Matrix. For all Services performed in any other locations, the costs of
      travel shall be agreed to between GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED and the Client at the time of the Service request.
• » Accommodation: The costs of accommodation shall be charged to the Client in the following circumstances:
  
  1. Travel is required on the day before or after the performance of Service due to the Service location; or
  2. The performance of Service requires two (2) or more days to complete.
  For all Services performed in Asia, the costs of accommodation shall be charged according to the Travel Cost Matrix. For all Services performed in any other locations, the costs of accommodation shall be agreed to between GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED and the Client at the time of the Service request.
• » Mailing: All costs of courier or mailing expenses incurred by GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED at the request of the Client shall be charged to the Client.

Payments

In any event that the Client requests invoices for Services to be issued to third parties, including but not limited to, agents, vendors, and factories, the invoiced third party must meet local credit requirements for the country where the invoice is issued, which may include partial or full prepayment. Payment of invoices issued to the requested third parties shall remain the responsibility of the Client and shall be reissued to the Client in any event that the invoices remain unpaid for longer than sixty (60) days. GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED reserves the right to suspend services and/or change payment terms to full prepayment for Clients with overdue invoices of ninety (90) days or more.

Severability And Entirety

These Terms apply to the maximum extent permitted by relevant law. If a court holds that we cannot enforce a part of these Terms as written, you and GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED will replace those terms with similar terms to the extent enforceable under the relevant law, but the rest of these Terms will remain in effect. This is the entire contract between GREEN EDGE COMPLIANCE GROUP PRIVATE LIMITED and the Client regarding the Services. The Terms supersede any prior contract or oral or written statements regarding your use of the Platform.

Limited Liability

To The Fullest Extent Permitted By Law, In No Event Shall Green Edge Compliance Group Private Limited, Its Affiliates, Officers, Employees, Agents, Suppliers Or Licensors Be Liable For (A): Any Indirect, Incidental, Special, Punitive, Cover Or Consequential Damages (Including, Without Limitation, Damages For Lost Profits, Revenue, Goodwill, Use Or Content) However Caused, Under Any Theory Of Liability, Even If Green Edge Compliance Group Private Limited Has Been Advised As To The Possibility Of Such Damages.

To The Maximum Extent Permitted By Applicable Law, The Aggregate Liability Of Green Edge Compliance Group Private Limited And Its Affiliates, Officers, Employees, Agents, Suppliers Or Licensors, Relating To The Services Shall Be Limited To An Amount Equal To Five (5) Manday Fees Of The Particular Service Performed Which Gives Rise To Such Liability. The Limitations And Exclusions Also Apply If This Remedy Does Not Fully Compensate You For Any Losses Or Fails Of Its Essential Purpose.

Green Edge Compliance Group Private Limited Provides Reports, Recommendations, And Advice Relying On The Information Provided By The Client And Its Affiliates. Green Edge Compliance Group Private Limited Shall Not Be Held Liable For Any Claims Directly Or Indirectly Arising Out Of Services Performed In Consideration Of The Incorrect Or Incomplete Information And Instructions Received From The Client Or Its Affiliates. In Any Event That Green Edge Compliance Group Private Limited Is Held Liable For Any Claims Directly Or Indirectly Arising Out Of Services Performed In Consideration Of The Incorrect Or Incomplete Information And Instructions Received From The Client Or Its Affiliates, The Client Shall Fully Guarantee And Indemnify Green Edge Compliance Group Private Limited For Any Losses, Damages, Or Expenses Suffered From Such Claims, Incuding But Not Limited To Attorney’s Fees.

WAIVER

The failure of either party to insist upon or enforce strict performance of any of the provisions of these Terms or to exercise any rights or remedies under these Terms will not be construed as a waiver or relinquishment to any extent of such party's right to assert or rely upon any such provision, right or remedy in that or any other instance; rather, the same will remain in full force and effect
